Engagement for any service begins only after:

    • Initial payment (if applicable) is completed 

Deliverables, timelines, and scope are defined in the project proposal shared with the client. 
Any change in scope or additional requirements may result in revised pricing or timelines. 

6. Payments & Billing

Unless otherwise stated, payments for services must be made as per the following structure (or as defined in the contract): 

    • Advance payment to initiate work 
    • Milestone-based or full payment upon delivery 

Delayed payments may: 

    • Pause ongoing work 
    • Delay deliverables 
    • Incur late payment charges 

All payments made are non-refundable unless explicitly mentioned in writing. 

7. Cancellations & Refunds

    • Cancellation requests must be made in writing. 
    • Work completed before a cancellation request will be billable. 
    • Refunds, if applicable, will be processed as per the agreement terms. 
    • No refunds will be issued for digital services already executed, delivered, or partially delivered. 

8. Confidentiality

Both parties agree to maintain confidentiality regarding: 

    • Business information 
    • Strategies, reports, and insights 
    • Proprietary methodologies 
    • Client data and communications 

We do not sell or share confidential information unless required by law. 

9. Data Protection & Security

We follow industry-standard practices to protect data but cannot guarantee absolute security due to the nature of the internet. 
Clients are responsible for: 

    • Providing secure access credentials 
    • Protecting shared login information 
    • Maintaining backups unless otherwise agreed 

First Quadrant Labs is not liable for data loss due to third-party platforms, hosting providers, or client-side negligence. 

10. Third-Party Tools & Integrations

Our services may rely on third-party tools, platforms, or APIs (such as cloud providers, analytics tools, CRM platforms, etc.). We are not responsible for: 
    • Downtime 
    • Policy changes 
    • System failures 
    • Limitations or updates from third-party providers 
Client agrees to comply with applicable third-party terms.

11. Limitation of Liability

First Quadrant Labs shall not be held liable for: 

    • Loss of data, profits, revenue, or business due to service usage 
    • Delays caused by third-party platforms or client-side delays 
    • Outcomes dependent on market conditions, algorithms, or external factors

Our maximum liability, if proven, will not exceed the total fees paid for the specific project. 

12. Indemnification

You agree to indemnify and hold First Quadrant Labs, its employees, partners, and associates harmless from claims, damages, or liabilities arising from: 

    • Misuse of services 
    • Violation of these Terms & Conditions 
    • Violation of third-party rights 

13. Modifications to Terms

First Quadrant Labs reserves the right to update or revise these terms at any time. 
Changes will be posted on this page with an updated date.

14. Governing Law

These Terms & Conditions are governed by the laws of United States & India. 
Any disputes will be subject to the jurisdiction of courts in United States & India.
